These Terms of Service (“Terms”) are between Resonate Tech., Inc. (“Company”) and you (“Customer”). The Terms govern your use of the Company’s SaaS services, including AI Studio and 0CodeTools (collectively, the “Services”).
AI Studio is an AI-powered content generation service that integrates with HubSpot, allowing users to process CRM data with leading language models such as OpenAI GPT-4, Google Gemini Pro, Cohere, and Anthropic Claude 3. It includes document retrieval and web browsing functions for bulk processing CRM data, creating action chains to process data (e.g., formatting company names, identifying gender of contacts, categorizing and organizing CRM data), generating content (e.g., sales emails, opening lines for emails, replies to customers), and enriching data with web searches.
0CodeTools is a HubSpot app designed to extend the capabilities of HubSpot Workflows. Key features include:
• Adding notes to timelines
• Finding and associating records
• Updating association labels
• Copying associations from other records
• Removing associations
• API webhook connections
• Sending Telegram notifications
• Creating pages or database items in Notion
• Sending emails with SendGrid
• Extracting web data
• Generating quotes
• Adding taxes to quotes and invoices
• Adding line items from the product library
• Introducing random delays
• Deleting records
Customer may access and use the Services in accordance with the features and functionalities of their subscribed plan. Each plan allocates a certain number of tokens or actions corresponding to service usage. The Customer shall not misuse the Services, including but not limited to attempting unauthorized access or usage. Exceeding plan limits by more than 2x will be considered a license violation, and the Company reserves the right to block the account without future access to the Services.
The Services integrate with various third-party platforms, such as HubSpot, Telegram, Notion, and SendGrid. Customer’s use of the Services through these platforms is subject to their respective terms of service and privacy policies.
The Services are offered in various subscription plans, with pricing ranging from $50 to $449 per month, depending on the number of tokens or actions consumed. A free version of AI Studio provides 50,000 AI tokens for experimentation, free version of 0CodeTools provides 100 actions per month. The terms, pricing, and usage limits of each plan are detailed on the Company’s website and are subject to change at the Company’s discretion. The purchase of a Service plan constitutes acceptance of these Terms and any applicable conditions set forth on the Company’s website.
The Services and all intellectual property rights in the Services are and will remain the exclusive property of the Company. Customer shall not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the Services.
Customer shall maintain the confidentiality of all information and data related to the Services and shall not disclose such information to any third party without the Company’s prior written consent.
The Services are provided “as is” and the Company makes no representations or warranties, express or implied, regarding the Services, including without limitation any warranties of merchantability or fitness for a particular purpose.
The Company shall not be liable to Customer or any third party for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Services, even if the Company has been advised of the possibility of such damages.
The Company may terminate these Terms by providing written notice to Customer. Customer may terminate the Services through the billing self-service portal. After termination notice, the Services will still be provided to Customer until the end of the billing period.
Additionally, if a Customer triggers more than 2x the actions available for their plan, resulting in overflowing our services with requests that can't be processed, this will be considered a license violation and may lead to immediate contract termination. In such cases, the Company reserves the right to terminate the Customer's access to the Services without prior notice.
These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law.
These Terms constitute the entire agreement between the parties with respect to the use of the Services and supersede all prior understandings and agreements, whether written or oral, relating to the subject matter of these Terms.
The Company may modify these Terms at any time upon written notice to Customer, and Customer’s continued use of the Services after such notice will constitute their acceptance of the modified Terms.
By subscribing to the Services, Customer acknowledges that they have read and agree to be bound by these Terms.
